  • This Not-For-Profit Corporation is applicable if it has intention to be a charitable organization in future. The articles of incorporation for a charity intended corporation is different than a non-charity intended corporation.     Non-Charitable Purpose: can be ready as fast as in 2 business hours if you choose such speed.
    Charitable Purpose: can be ready as fast as in 6 business days if you choose such speed.
  • Is it really done in 2 hours?
    Our multiple departments work together simultaneously. In 2 hours service queue, the Corporations Canada team do NUANS search, reserve the report, and approve the name with name analysis. The legal and accounting team prepares the articles of incorporation and give to the filing agent. Then the filing agent register the not-for-profit corporation into Service Ontario system, generate the electronic certificate and articles of incorporation. In the mean time, the legal team prepares the bylaws and minute book if the order includes these items. All these tasks are done in 2 business hours, because each governmental team, accounting team and legal team work side by side and well integrated.     As per Ontario Not-for-Profit Corporations Act, (ONCA), the by-law must define the conditions of membership in your organization. They may contain other rules, as long as those rules don’t override the rights and responsibilities required by the ONCA. sets out the rules and procedures for how your corporation should manage day-to-day activities, such as board meetings and elections.   • What is corporate seal?
    A corporate seal is an embossed seal used for the protection of the business against fraudulent activities. It has legal value in preventing fake representation of your business. Traditionally, corporate seals are used contracts, share certificates, bank documents, land titles etc. It's highly recommended if your company has frequent transactions or provide receipts, invoices and other documentations such as loan contract, mortgage application, employment contract, service contract or any sub-contract.   • Why need Business Number?
    All corporations (regardless profit or not-for-profit or cooperatives) MUST have a Business Number from Canada Revenue Agency (CRA). Business Number is also known as RC number (RC0001). This is the unique identification of your business with CRA. A Business Number is often required to to make any business contract, setting up an payment processing account, google business account, trade name application, Amazon account, annual corporate filing etc.
  • Why need payroll account?
    Payroll account applicable in all cases. Even if you do not have employee, your own salary to be processed through payroll account. Please note, this is not the process your payroll, but this is the initial set up of payroll account with CRA which you definitely need to process the payroll.
  • Do I need import export account?
    You need import export account only if you plan to export or import from/to out side of Canada. Please note, only physical items (not service) fall under export or import. If you select, we will register this account and give you the account number.
  • What is WSIB?
    It's the Workplace Safety Board registration. If your corporation plan to have employees now or in future, it MUST register with WSIB. We register and give you the account number and hook you with WSIB authority. Please note, it does not cost monthly premium fees, rather WSIB authority will advise on your eligibility of free program or fees.
  • Is my expense are tax creditable?
    When you incorporate a company, the expenses are called business development expense which is tax creditable. Any spending you do after incorporation, is considered as operating expense which are not tax creditable. Doing it separately later is a manual process which cost more and takes longer time.
  • What are mandatory items?
    An Ontario non profit must have bylaws and minute book, set up corporate tax ID to file mandatory T2 (though tax is exempted, filing T2 is mandatory), HST account (to claim the spent HST amount) and payroll account (to pay an employee). Initial Return is a mandatory filing with Service Ontario and MUST be done for every new corporation. Fail to file these mandatory filing on time, may result the corporation NULL & VOID.
  • Why choice for mandatory items?
    Many of our clients are law firms and accounting firms. Many of them place orders with us only for a certain part of the service for their clients, while they wish to complete the remaining part of the service by themselves. This is the primary reason for leaving many mandatory items as of optional on this package. For example, the by-laws and minute book, which is a mandatory item for a corporation, left here intentionally optional in case the law firms wish to prepare it by themselves.

  • What is incorporation date?
    Most people incorporate the entity as of current date. However, Service Ontario offers future date of incorporation, where you may select a certain date such as January 1st or any significant date. The future date can be regardless holiday or weekend, and cannot exceed 30 days from the current date. If you choose future date, you will receive incorporation confirmation document now. Service Ontario will send the certificate and articles of incorporation to us after the incorporation date, and then we will deliver to you by email.
  • What is Registration Queue?
    Charitable Intended Ontario Not-for-Profit Corporation can be ready in 3 queues:

    • In Urgent Queue. Corporation's articles, certificate, bylaws and minute book will be ready in 6 Business Days

    • In Express Queue. Corporation's articles, certificate, bylaws and minute book will be ready in 10 Business Days

    • In Standard Queue. Corporation's articles, certificate, bylaws and minute book will be ready in 30 Business Days

  • What is Filing Queue?
    Charitable Intended Ontario Not-for-Profit Corporation can be ready in 3 queues:

  • Choosing a name is mandatory?
    An Ontario non profit corporation cannot be a numbered corporation. It must have a name and therefore, a NUANS reservation report is mandatory.
  • What is NUANS report?
    For an Ontario non profit corporation, a valid NUANS report is required. You have option to upload if you already have it, or can ask us to obtain it for you. If you upload, please ensure it's an Ontario NUANS report (not a federal one). Click here to see the sample of NUANS Report.
  • How name validation works?
    Incorp Pro is an agent of Corporations Canada. If you buy NUANS & name approval from us, we do a pre-search first before obtaining the NUANS. If pre-search result shows good, we get name approval instantly. If pre-search result shows conflict, we will request you for alternative name by email, up to 3 names at free of cost.
  • Any rules for corporation's name?
    1. Name not to be Deceptively Similar
    2. Name to be Distinctive
    3. distinctive element (association, club) etc. are optional
    4. May contain Inc. or incorporated at the end, but cannot end with Ltd. or Limited etc.

  • To register a corporation in this province, a local provincial physical address is required where the government will send documents. If you do not have a physical address in this province, our agency provides address and mail scanning service.

  • What is corporation's address?
    It is the location where business is located. It can be a commercial rented place or home address. It can't be a P.O Box, must be a physical address. CRA documents will go to this address.
  • Can I change it later?
    Yes, it can be changed later. In many cases when commercial place is not rented yet, residential address is given.
  • Do you provide address service?

  • Is the address service renewable?
    Yes, you have the choice to renew it on an annual basis. Normally, the price remains same.

  • What to write as purpose?
    You need to write the primary motive of this non-profit corporation. You may describe three major activities that the corporation plans to perform. Stating the right purposes may help you to be eligible for certain grants, funds and aid from the government and other agencies in future. The purposes can be modified in future with filing an 'articles of amendment'.
  • What not to write as purpose?
    The purpose should not be too general or unclear ideas. It is recommended to avoid mentioning the names of any other organization as it may cause to get an additional consent from the said organization. We recommend not to write more than three purposes.

    Changing Articles: Once a corporation is incorporated, its articles and share structure can be changed by filing an articles of amendment which involves with additional government fees and legal fees. We offer articles of amendment service through our website.

  • Why need business number?

  • What is an officer's role?
    The corporation's officers (President, CEO, VP, Secretary etc.) manage the business's daily operations, and in their different roles they are given legal authority to act on the corporation's behalf in almost all lawful business-related activities.
  • What are the usual positions/designations?
    Normally, the designations 'President' or 'CEO' is assigned to the primary director or the most important individual of the corporation. The next roles are VP, treasurer, secretary, administrative assistant etc.

  • Who needs a GST/HST account?
    As a non-profit corporation, you may claim the annual GST/HST amount you spend on your operational expenses and on purchasing of office supplies, furniture, equipment etc. GST/HST account number is required to claim the HST amount with Canada Revenue Agency.
  • Who needs a payroll account?
    If you hire Employees including yourself, then you need a Payroll Account Number. If you do not have an employee, your own salary or a family member's salary can be processed through the payroll account to take advantage of CRA 'income splitting'. Please note, this is not a payroll service, rather the initial set up of a payroll account with CRA.
  • What is import account?
    If your corporation involves importing physical goods, it is required. The government uses this account to process the customs clearance.
  • What is export account?
    If your corporation involves exporting physical goods, it is required. The government uses this account to process the customs clearance.
  • Do I need WSIB registration?
    Registering with Workplace Safety and Insurance Board (WSIB) is required for most businesses In Ontario within 10 days of hiring their first employee. Some types of businesses are exempted from mandatory registration with WSIB based on the activities (Examples are banks, insurance companies, hair salons (with exceptions), private schools or daycares, travel agencies, etc.) but many employers in these industries choose to register with the WSIB anyways for protection to their workers. WSIB registration is more important for small businesses and start-ups to provide financial security in the event of a workplace accident.

    The Annual Return of Corporation must be filed for every Canadian corporation every year to keep the corporation active. This is filling to keep the corporation’s records up to date.
